协鑫新能源(0451.HK)与中国华能首批光伏电站交易落地，首批交易对价涉资约10.81亿
1月21日收市晚间，保利协鑫(03800.HK)及协鑫新能源(0451.HK)联合发布公告，协鑫新能源与中国华能订立首批光伏电站购股协议：苏州协鑫新能源及宁夏协鑫新能源共向中国华能出售294MW光伏电站的全部股权及股东贷款，接收方为华能旗下华能一号基金及华能二号基金。
公告显示：本次交易将为协鑫新能源带来约10.81亿元现金流，并减少负债约26.65亿元，交易所得现金也将用于偿还债务，是其“轻资产”转型升级的重要一环，有效降低财务风险。
公告称，此次交易之后，协鑫新能源与中国华能将进一步探索其他合作机会，包括但不限于协鑫新能源现有的光伏电站。双方已在积极推进其他批次光伏电站出售事项，计划在不久的将来达成及落实签署更多光伏电站出售协议。
这是继2019年12月20日协鑫新能源与中国华能合作框架协议公告后，发布的第一个阶段性合作协议，共涉及7座光伏电站。这意味着双方合作进入实操阶段，合作路径进一步清晰和稳定。
据悉，由于双方交易的光伏电站资产体量较大，规范的资产审计及严谨的国企内部流程历时较久，为避免资本市场及投资者过长时间的等待，双方决定采取分批完成的方式，每次签约体量为数百兆瓦。
“轻资产”模式是协鑫新能源近年来最为核心的战略之一。据统计，2018年10月至2019年5月，协鑫新能源接连出售光伏电站资产，降杠杆和缩减负债的速度和力度均有加快迹象。7个月内的交易已收回及将收回现金合共约人民币38.5亿元，将用作偿还债务，加上项目相关的债务将终止合并入账，公司债务规模将缩减约人民币97.6亿元。
协鑫新能源自2017年即提出轻资产转型目标，同时推出“协鑫智维”光伏电站运维服务，并不断优化区域智慧运维模式。这一目标的建立其实是基于协鑫由来已久的“平价”信心，早在2014年，协鑫集团就曾发出呼吁：制定并发布亚洲乃至全球的光伏发电“平价上网”路线图，汇聚产业链各环节最优秀的企业分兵突进、联合攻关，为早日摆脱补贴依赖而共同努力。随后，协鑫集团制定了平价上网路线图、时间表、任务书。
随着中国华能作为其最大买家的加入，协鑫新能源的轻资产转型即将迎来冲刺阶段，同时，华能向清洁能源转型的战略布局也在加快实现。
