远大控股(000626.SZ)连续2个涨停 能否成为中纺油脂(天津)的最终重整投资人存不确定性
格隆汇1月15日丨远大控股(000626.SZ)公布，公司股票日收盘价格涨幅偏离值连续2个交易日(2020年1月14、15日)累计偏离20.45%，属于《深圳证券交易所交易规则》规定的交易异常波动。
公司根据深交所《股票上市规则》等规定，对有关事项进行了必要的核实，现说明如下：
1、2019年12月17日，公司召开第九届董事会2019年度第十三次会议,审议通过了《公司参与中纺油脂(天津)有限公司破产重整招募投资人报价》的议案，同意公司参与中纺油脂(天津)有限公司破产重整招募投资人报价，以期受让中纺油脂(天津)有限公司100%股权。截止到公告日，公司已参与管理人组织的第一轮投资人报价，由于各投资人的报价均未达到管理人底价，公司正在等待管理人后续的招募安排。公司能否成为最终重整投资人并开展谈判、签署协议等均存在不确定性，敬请广大投资者理性投资、注意风险。
2、2019年12月10日，公司全资子公司远大物产集团有限公司的控股子公司远大生水资源有限公司收到国家税务总局宁波国家高新技术产业开发区税务局《税务事项通知书》，要求对远大生水资源有限公司收到的部分增值税专用发票进行核查。截止到公告日，远大生水资源有限公司已向相关税务部门提交了业务合同、银行凭证、运输仓储证明等有关说明材料，相关税务部门正在对上述事项进行核查，敬请广大投资者理性投资、注意风险。
3、公司全资子公司远大物产集团有限公司的控股子公司远大石化有限公司因涉嫌操纵期货市场案于2018年被移送到抚顺市中级人民法院提起公诉，远大石化有限公司已于2017年度将5.60亿元扣押款划至有关部门指定账户，并暂按扣押款金额计提了预计损失。截止到公告日，案件尚在审理过程中，敬请广大投资者理性投资、注意风险。
4、公司于2016年度实施了重大资产重组，因重组标的资产业绩承诺未实现，宁波至正投资管理有限公司及金波等25名自然人需向公司进行补偿。公司2018年度第一次临时股东大会审议批准了《公司重大资产重组标的资产业绩承诺未实现的补偿实施方案(修订稿)》, 根据该补偿实施方案，补偿分两次进行。截止到公告日，第一次补偿已经完成，第二次补偿尚未实施完毕，敬请广大投资者理性投资、注意风险。
