啟迪環境(000826.SZ)：三峽資本及長江生態環保擬13.52億元摘牌受讓雄安浦華40%股權
格隆匯12月24日丨啟迪環境(000826.SZ)公佈，此次公開掛牌轉讓全資子公司部分股權事項已經公司第九屆董事會第二十三次會議審議通過。此次股權轉讓事項於2019年11月25日至2019年12月20日在北京產權交易所公開掛牌，現公開掛牌期限已滿，三峽資本控股有限責任公司及長江生態環保集團有限公司兩方作為意向受讓方以13.52億元的價格摘牌受讓了雄安浦華40%的股權。根據最終確定的受讓方，此次交易不涉及關聯交易。其中：三峽資本受讓其15%股權，長江生態環保受讓其25%股權。
雄安浦華水務科技有限公司經營範圍：水污染治理，環境工程專項設計服務；環保工程施工；節能技術推廣服務，環保技術推廣服務，環保諮詢，市政工程設計服務；技術進出口(依法須經批准的項目，經相關部門批准後方可開展經營活動)
各方同意，在此次股權轉讓完成後對標的公司進行同比例增資。標的公司擬增加註冊資本人民幣2.93億元，公司向標的公司以貨幣增資人民幣1.758億元，三峽資本控股有限責任公司、長江生態環保集團有限公司向標的公司以貨幣增資人民幣1.172億元，其中，三峽資本向標的公司以貨幣增資人民幣4,395萬元，長江生態環保向標的公司以貨幣增資人民幣7,325萬元。增資完成後，公司持有標的公司60%的股權，三峽資本控股有限責任公司、長江生態環保集團有限公司持有標的公司40%的股權，其中三峽資本持有標的公司15%股權，長江生態環保持有標的公司25%的股權。
此次引入的戰略投資方三峽資本、長江生態環保在金融資本領域和產業發展方面具有顯著優勢，交易完成後，雄安浦華將充分發掘和運用各股東方的優勢資源、實現強強聯合，拓展更廣闊的市場空間，引導水務業務良性發展，打造國內領先的環保水務業務平台。各方將在污水處理、管網優化、生態修復、智慧環保等諸多方面系統性合作，協同創新，共同參與長江大保護。同時，此項交易的發生將充實公司及雄安浦華的資金儲備，為後續重點研發及市場拓展工作提供保障。
