格隆汇12月16日丨新鸿基地产(00016.HK)公布,2019年12月16日,公司一间全资附属拟向买方Somerpath International Limited出售目标公司Vivid Synergy Limited已发行股本的25%,代价为1.95万港元,同时,公司另一全资附属拟向买方转让9.39亿港元的出售贷款,占信明于紧接成交前欠贷款卖方的贷款的25%,代价为9.40亿港元。

目标公司只限拥有、发展及营运将在该土地上兴建的办公大厦,并将实际地享有所有经济权利及利益,及将实际上承担一切责任及债务。成交完成后,目标公司仍为公司之附属公司,其股份由股份卖方及买方分别以75%及25%的比例持有。公司(透过其多间全资附属公司)将拥有、发展及营运将在该土地上兴建的商业/零售部分,并将继续单独及实际地享有所有经济权利及利益,及将单独及实际上承担一切责任及债务。

该土地为位于香港九龙连翔道与柯士甸道西交界,及/或将于土地注册处注册为九龙内地段第11262号的用地。该土地的发展将由(其中包括)商业/零售部分及办公大厦部分组成,当中包括其各自指定的停车场及相关配套及设施。办公大厦部分的楼面总面积现预期约为261,600平方米。

出售股份及出售贷款的代价乃各方参考出售股份的总面值、出售贷款的面值,以及集团就出售贷款的融资成本,经公平磋商后厘定。于紧接成交前,信明欠贷款卖方的贷款为37.58亿元(出售贷款构成其中的25%),并主要用作垫付就获授该土地而须支付土地金额422.32亿港元的10%订金当中信明的部分(即约88.98%)。88.98%的比率代表信明于该土地的权益百分比,于成交时,买方向信明给予保证,于2019年12月24日或之前,将垫付金额84.55亿港元的贷款(占信明于上述90%的土地金额余额当中的25%)予信明。

买方之主要业务为投资控股。买方是一间由三间郭氏家族公司各自拥有其三分之一权益之公司。郭氏家族公司各自之主要业务为长线投资控股。集团有意邀请其他长线策略性投资者参与该土地之地标项目发展。郭氏家族公司多年来一直于公司股份持有重大权益,作为长线投资,其亦于多年来增持额外的公司股份权益。这令郭氏家族公司成为集团合适的策略合作伙伴,参与发展此将成为集团长线投资的地标项目。
