中船防务(600685.SH)：签署收储地块补偿协议 若2019年内完成将增加公司今年利润总额13.46亿元
格隆汇11月18日丨中船防务(600685.SH)公布，2014年，根据广州市“退二进三”城市规划，公司荔湾厂区地块被列为需搬迁的区域，并要求尽快完成搬迁工作。结合公司战略发展规划，为提高公司盈利能力，有序实施荔湾厂区产能转移工作，便于今后土地开发，公司已于2014年底以公司荔湾厂区地块共计39.37万平方米(“广船地块”)及附属资产出资设2立了广州广船船业有限公司(“广船船业”)；2015年，公司将广船船业100%股权划转至公司子公司广船国际有限公司(“广船国际”)；2015年年底，广船国际将广船船业100%股权以公开挂牌出售的方式转让给了上海凌翔股权投资有限公司。
中船防务与广州市荔湾区政府、中信泰富(中国)投资有限公司(“泰富中投”)于2017年9月29日在广州签署了《荔湾区广船地块央企总部集聚区战略合作备忘录》，三方将尽快启动广船地块改造，共建荔湾区广船地块央企总部集聚区，打造国家级科创产业园区。
目前，广船地块的使用权人为广船船业，广船国际作为原广船地块的拥有人，为政府认可的广船国际生产基地搬迁及土壤修复实施人。广船船业现已开展广船地块的土地开发工作，广船地块中的4.48万平方米(“地块一”)现已临近拍卖。
根据广船地块及基准地价大幅提升的实际，为加快推进土壤治理修复、办理地块一补偿事宜，广船船业需要广船国际协助积极协调政府，同步推进土壤修复和地块一的土地拍卖工作。因此，广船船业拟与广船国际签订《广船国际荔湾厂区收储地块一补偿协议》，以更好推进广船地块开发等工作。
广船国际同意积极协调政府，同步加快推进土壤修复和地块一的土地拍卖工作，以便顺利推进开发项目实施。广船船业同意，按照广船地块39.37万平方米的面积，依据现行地价补差3625元/平方米的标准，向广船国际支付地块补偿费用，合计含税金额14.27亿元。同时双方明确：
(一)广船国际负责的土壤修复工作不影响土地拍卖工作。
(二)广船国际应积极协调政府相关部门，保证广船地块土地出让方案的批复于2019年12月30日之前获得政府批准并实现年内挂牌,力争实现拍地成交。
(三)广船船业同意于2019年内向广船国际支付补偿费用的50%，人民币7.14亿元，广船船业在一期土地挂牌出让后收到财政土地款后三个月内向广船国际支付剩余款项人民币7.13亿元。广船国际须提供税务认可的合规票据作为广船船业付款前提。
(四)广船国际已完全适当履行本协议全部义务之前提下，广船船业未按本协议规定的条件支付给广船国际补偿费用，每延迟一天，应按延迟支付部分金额的万分之五向广船国际支付违约金。
为加快推进土壤治理修复、办理地块一土地收储补偿事宜，广船船业拟与广船国际签订《补偿协议》，以更好推进广船地块开发等工作。如按上述协议于2019年内完成相关工作后，将增加公司2019年度利润总额约13.46亿元，具体会计处理须以会计师年度审计确认后的结果为准。
