会稽山(601579.SH)及相关人员收到浙江证监局行政监管措施决定书
格隆汇9月8日丨会稽山(601579.SH)公布，2019年9月6日，公司收到中国证券监督管理委员会浙江监管局《关于对会稽山绍兴酒股份有限公司及相关人员采取出具警示函措施的决定》的行政监管措施决定书(编号为：﹝2019﹞83号)。现将该行政监管措施决定书全文公告如下：
“会稽山绍兴酒股份有限公司、金建顺、傅祖康、唐雅凤：
经我局现场检查及你公司2019年半年度报告披露的情况，你公司存在控股股东非经营性资金占用。你公司通过全资子公司浙江唐宋绍兴酒有限公司向杭州永仁实业有限公司(“永仁实业”)提供借款共计0.95亿元，永仁实业系你公司关联方，且永仁实业将上述资金拆借给了你公司的控股股东精功集团有限公司(“精功集团”)。上述事项未按相关规定在临时报告中进行披露。
你公司的上述行为违反了《上市公司信息披露管理办法》第二条、第四十八条及《关于规范上市公司与关联方资金往来及上市公司对外担保若干问题的通知》第一条的有关规定。金建顺、傅祖康、唐雅凤分别作为你公司董事长、总经理、财务总监，是上述资金拆借行为的直接负责人，违反了《上市公司信息披露管理办法》第三条的规定，对上述违规事项负有主要责任。根据《上市公司信息披露管理办法》第五十八、五十九条的有关规定，我局决定对你公司及相关人员采取出具警示函的监督管理措施，记入证券期货市场诚信档案。你公司应充分吸取教训，加强相关法律法规学习，提高规范运作意识，认真履行信息披露义务；董事、监事、高级管理人员应当履行勤勉尽责义务，促使公司规范运作，并保证信息披露的真实、准确、完整、及时、公平。请你公司对内部控制开展全面自查，对所有违规事项进行整改，并在2019年9月20日前向我局提交书面报告，杜绝今后再次发生此类违规行为。
如果对本监督管理措施不服，可以在收到本决定书之日起60日内向中国证券监督管理委员会提出行政复议申请，也可以在收到本决定书之日起6个月内向有管辖权的人民法院提起诉讼。复议与诉讼期间，上述监督管理措施不停止执行。”
公司高度重视上述《决定书》中提出的问题，将按要求采取有效措施进行整改，按期提交书面整改报告。公司董事、监事及高级管理人员将以本次整改为契机，加强对证券法律法规的学习，强化规范运作意识，切实提高公司规范运作水平。
