雅生活服务(03319.HK)股东绿地金融减持5000万股
格隆汇10月15日丨雅生活服务(03319.HK)公布，本公司接获绿地金融投资控股集团有限公司通知，绿地金融全资附属公司及本公司主要股东绿地金融海外投资集团有限公司于2019年10月15日在公开市场出售5000万股本公司境外上市外资股（H股），平均价格为每股股份21.18港元。
紧随出售事项后，绿地金融分别透过其全资附属公司绿地海外及宁波绿璡于5000万股H股及1亿股非上市股股份中拥有权益，合共占本公司已发行股本总数约11.25%。出售事项主要基于绿地金融整体发展考量，并不影响绿地金融的控股公司绿地控股集团股份有限公司与本公司的战略合作。出售事项完成后，通过旗下的金融投资平台绿地金融持有本公司股份，绿地控股仍为本公司第二大股东。
绿地控股承诺将继续严格遵守与本公司的控股股东雅居乐集团控股有限公司及本公司订立的投资合作框架协定，继续维护和持续发展与本公司的战略合作伙伴关系，继续支持本集团的物业管理及相关增值服务业务发展，并避免同业竞争，为本公司的快速发展提供全力支持。
自2017年本公司与绿地控股建立战略合作关系以来，双方合作良好，截至2019年6月30日止，本公司已自绿地控股承接累计超过34百万平方米的合约管理面积。而在截至2019年6月30日止的6个月期间，本公司已自绿地控股新增逾12百万平方米的合约管理面积，已超过投资合作框架协议中规定的年度保证及优先物业服务面积。
出售事项完成后，绿地控股将继续根据投资合作框架协议，确保本公司可获得协议中规定的保证及优先物业服务面积。在品牌管理方面，绿地控股将按约定继续把绿地物业业务运营所需的商标、品牌免费授予绿地物业在物业管理业务范围内使用，实现雅居乐物业及绿地物业双品牌战略目标。此外，绿地控股亦支持本集团通过第三方拓展及收并购进行规模扩张和全产业链布局的战略。截止2019年6月30日，来自第三方开发商项目占本公司总在管建筑面积的72.4%。
同时，出售事项将使本公司的股票公众持股比例从原本的约25%提升至约28.75%，有助提升股票流通市值。绿地金融已向本公司表明对本公司业务发展前景的看好及乐观态度，目前并无进一步减持计划。于本公告日期，绿地金融仍为本公司主要股东。
