新世界發展(00017.HK)擬斥資33.75億元收購上海新世界淮海物業餘下50%權益

格隆匯9月8日丨新世界發展(00017.HK)發佈公吿,2021年9月8日,公司間接全資附屬新世代上海物業發展有限公司作為買方與周大福控股直接附屬公司周大福代理人有限公司訂立協議,據此,買方同意購買目標公司50%股權,總代價為人民幣33.75億元。

目標公司(即上海新世界淮海物業發展有限公司)註冊及實繳資本為10.85億美元,主要業務為開發、管理及營運位於上海市黃浦區淮海中路300號的上海香港新世界大廈。該發展項目已於2002年竣工,此後一直持作租賃用途。通過引進K11品牌進行重新定位,上海香港新世界大廈自2013年起引進中國內地首個購物藝術中心上海K11購物藝術中心,該中心彙集環球品牌、全市獨一無二的商店及餐飲、加上獨特的藝術空間及內部採用生態環保設計,一同創造出獨特的購物及藝術體驗,使其成為淮海中路乃至上海地區的商業地標及文化景點。目標公司新營業執照獲簽發後,將成為公司的間接全資附屬公司。

集團相信,收購事項將有助於提升資產的營運效率,並與集團在上海的發展策略一致。由於進行收購事項前目標公司由買方擁有50%權益,故董事認為,收購事項將讓集團取得對該物業的全面管理控制權,從而將提升該物業的管理效率。該物業內設58層寫字樓及上海K11購物藝術中心,於過去數年間錄得理想的出租率及租金表現。隨着2021年中國內地經濟回暖,董事認為,上海的穩健商業及消費復甦趨勢將得以延續,且該物業的出租率將穩步增長。此外,該物業緊鄰集團於2020年8月收購及位於淮海中路的地塊。該地塊總建築面積(不包括停車場)約10萬平方米,並將包括一個高端商業綜合體。
