領展房產基金(00823.HK)擬斥58.2億港元收購香港兩處物業

格隆匯11月10日丨領展房產基金(00823.HK)宣佈,於私人招標程序後,買方(作為領展間接全資擁有的特別目的投資工具)、賣方與擔保人訂立日期為2021年11月10日的買賣協議,據此,買方已分別有條件同意向賣方收購(i)Apollo Luck銷售權益及(ii)ZF Land銷售股份。Apollo Luck銷售股份及ZF Land銷售股份分別指(i)Apollo Luck的全部已發行股份,其為位於香港柴灣嘉業街60號的柴灣物業的唯一擁有人及(ii)ZFLand的全部已發行股份,其為位於香港九龍紅磡寶來街50號的紅磡物業的唯一擁有人。除非賣方與買方就Apollo Luck買賣協議另行議定,否則Apollo Luck成交與ZF Land成交須同步發生,惟ZF Land成交與Apollo Luck成交毋須同步發生。

柴灣物業為9層高的倉庫大廈,總樓面面積約為43.84萬平方尺,已重訂用作4S全方位汽車服務大樓,設有汽車陳列室、汽車保養及維修中心、倉庫和相關辦公室的用途。紅磡物業為13層高的綜合用途停車場大廈,總樓面面積約為42.14萬平方尺,亦已重訂用作4S全方位汽車服務大樓,設有汽車陳列室、汽車保養及維修中心的用途,以及一個設有932個私人及公共泊車位的停車場。於落實各成交後,領展將(通過其特別目的投資工具)成為相關目標物業的唯一擁有人。

Apollo Luck銷售權益及ZF Land銷售股份的代價分別為27億港元及31.2億港元(分別為柴灣物業及紅磡物業的議定物業價值),將分別按Apollo Luck及ZF Land的經調整資產淨值調整。於估值日期,根據獨立物業估值師編制的估值報吿,柴灣物業及紅磡物業的物業估值分別為29.62億港元及31.19億港元。
