思博系統(08319.HK)擬1.4億港元收購Service One International 70%股權
格隆匯7月9日丨思博系統(08319.HK)發佈公吿，於2021年7月9日，賣方Service One Global Holdings Limited、買方思博系統集團有限公司（公司全資附屬公司）及公司訂立買賣協議，買方已有條件同意收購目標公司Service One International Holdings Limited全部已發行股本的70%，總代價為1.4億港元，其中6440萬港元將以現金支付；及7560萬港元將透過公司向賣方發行可換股債券支付。
目標公司為於英屬處女羣島註冊成立的有限公司，主要從事投資控股。於本公吿日期，目標集團包括(i)八間於英屬處女羣島、香港、中國、澳門、澳洲及新加坡成立之公司；及(ii)四家於廣州、北京、台灣及韓國成立的分公司，主要從事終端用户業務，其為終端用户提供實施後基礎設施管理服務，包括資訊科技硬件保養、服務枱、資訊科技外包及工作流程自動化服務。
董事認為，收購事項為補足集團的資訊科技基礎設施解決方案業務的良機，併為從事為目標集團營運的終端用户業務提供實施後資訊科技支援服務的合理垂直延伸。董事認為，終端用户業務可配合集團的資訊科技基礎設施解決方案業務，併為具有增長潛力的業務分部。集團及目標集團的終端用户業務提供獨特服務，以滿足客户於典型資訊科技基礎設施服務鏈涉及的不同階段的需求。集團資訊科技基礎設施解決方案業務的服務範圍涵蓋資訊科技基礎設施解決方案，包括客户要求分析、解決方案設計及架構、硬件及╱或軟件採購服務以及硬件及╱或軟件實施集成及服務測試，為資訊科技基礎設施解決方案項目的典型實施及集成工作。
另一方面，目標集團的服務範圍涉及向終端用户提供實施後基礎設施管理服務，包括資訊科技硬件保養、服務枱、資訊科技外包及工作流程自動化服務。集團及目標集團的業務範圍與資訊科技基礎設施服務鏈的上游及下游關係，董事認為，收購事項使集團能夠向其客户提供更全面的資訊科技解決方案服務，因此將有利於集團的業務發展。
