越秀地产(00123.HK)附属拟收购广州越璟房地产开发90%股权

格隆汇5月31日丨越秀地产(00123.HK)发布公告,2021年5月31日,公司附属广州城建开发南沙房地产有限公司作为买方与卖方(即广州越秀明睿三号实业投资合伙企业(有限合伙))订立股权转让协议,据此,卖方同意出售目标公司(广州越璟房地产开发有限公司,持有项目公司深圳鹏跃房地产开发有限公司100%股权)90%股权,股权转让代价约为人民币5100万元。

此外,完成起计60个营业日内,买方亦应向项目公司提供约人民币25.7亿元的还款金额,用于偿还卖方贷款。买方应确保项目公司在收到还款金额的同日偿还卖方贷款(以还款金额偿还)连同利息(须由项目公司以其内部资金支付)。完成后,买方将间接拥有目标公司及项目公司100%股权。总代价约为人民币26.21亿元,其中约人民币5100万元为股权转让代价及约人民币25.7亿元为还款金额。

公告表示,项目公司已开始建设深圳和樾府项目,该项目包括住宅用地。深圳和樾府项目预计于2022年年底或之前竣工。深圳和樾府项目的土地位于深圳宝安区西乡街道。鉴于深圳房地产市场的稳定发展趋势,董事对深圳和樾府项目的前景持乐观态度,该项目的销售预期将于未来 12至24个月继续进行。故董事认为,透过收购项目增加于项目公司的权益乃符合集团的利益。完成后,买方于项目公司的间接实际权益将由10%增加至100%。因此,目标公司及项目公司的财务业绩均将并入集团的综合财务业绩,且预期将对集团整体营业收入带来贡献。
