海尔智家(06690.HK)建议就A股员工持股计划第一期购买A股的成本最高为7.08亿元
格隆汇5月26日丨海尔智家(06690.HK)公布，公司拟采用各类别股票增加对核心管理层和全球不同市场优秀人才的激励力度。此外，公司拟于激励计划项下保持广泛的覆盖范围，以加强激励，惠及更多的关键雇员，特别是海外员工。因此，董事会于2021年5月25日举行的董事会会议上决定，建议采纳A股员工持股计划、H股员工持股计划及受限制股份单位计划。预期集团常居中国内地境内的相关员工将主要由A股员工持股计划及H股员工持股计划覆盖，而公司常居中国内地境外的相关员工将主要由受限制股份单位计划覆盖。
亦拟定集团的核心高级管理层（初步合共有35名）将参与A股员工持股计划及H股员工持股计划，致使待通过表现考核后，彼等将有权获得A股及H股权益。本公司相信，以A股及H股形式提呈激励予核心高级管理层，符合股东就核心管理团队应获激励为A股及H股股东创造价值的期望。A股员工持股计划、H股员工持股计划及受限制股份单位计划仍须经股东于股东周年大会上审议及批准后方可作实。
公告称，公司将向A股员工持股计划提供其购回的A股，或从激励基金提取资金以供从二级市场购买A股以供日后归属。建议就A股员工持股计划第一期根据A股员工持股计划购买A股的成本最高将为人民币7.08亿元。
此外，公司将从激励基金提取资金供H股员工持股计划从二级市场（透过港股通）购买H股以供日后归属。建议就H股员工持股计划第一期根据H股员工持股计划授予购买H股的成本最高将为人民币9,000万元。
于2020年12月H股在联交所成功上市后，公司建议采纳受限制股份单位计划，以让其员工拥有H股股权及向其提供奖励。现时预期H股将由受托人于香港的二级市场购买。建议在2021年根据受限制股份单位计划授予受托人购买H股的成本最高将为人民币1.02亿元（相当于约1.23亿港元）。
