毅高国际控股(08218.HK)拟购买蓝山金融余下70%股权
格隆汇4月20日丨毅高国际控股(08218.HK)公布，于2021年4月20日，公司（作为买方）、卖方ZhouQilin及授予人（作为期权授予人）订立买卖协议。根据买卖协议，公司已有条件同意购买目标公司蓝山金融集团有限公司12.0%股权，代价为720万港元（可上调至最多2880万港元），须以向卖方发行销售股份承兑票据结算。
根据买卖协议，授予人A、授予人B及授予人C已有条件同意于完成日期授出，而公司亦已有条件同意接纳期权A、期权B及期权C以分别购买期权股份A、期权股份B及期权股份C（相当于合计目标公司余下58.0%股权的期权）。公司须于完成日期分别向各授予人支付1.0港元期权价作为各份该等期权的代价。完成买卖销售股份及授出该等期权须于完成日期同时进行。
于完成日期至2022年6月30日期间，公司可随时行使任何该等期权，倘不获行使，该等期权将于2022年6月30日后自动到期。于任何期权获行使后，公司应购买而各授予人应出售各自期权股份。期权股份A、期权股份B及期权股份C的代价分别为1140万港元、1200万港元及1140万港元（可分别上调至最多4560万港元、4800万港元及4560万港元），将以向各自授予人发行各期权股份承兑票据的方式结算。
同日，公司（作为贷方）与目标公司（作为借方）亦订立贷款协议，据此，公司已同意向目标公司授出贷款（金额相当于目标公司董事会于2020年1月2日宣派且公司有权收取的股息），须于2022年1月2日偿还。
目标公司于香港注册成立，主要从事投资控股。目标公司的主要资产为投资于(i)蓝山资产管理有限公司；(ii)蓝山证券有限公司；(iii)蓝山信贷有限公司；(iv)蓝山商品有限公司；及(v)蓝山融资有限公司。
公司表示，考虑到自公司于2018年收购目标公司30.0%股权以来，目标集团于经营业务方面累积的知识及经验，董事认为进一步投资目标集团相对于不熟悉的新公司及业务面临较少不确定性。为继续稳健多元化集团的业务，董事于审慎考虑下列因素后，建议透过收购事项增加公司于目标集团的权益及参与度。
