正業科技(300410.SZ)：擬建半導體無損檢測智能裝備產業化項目和基於動力鋰電池用疊片工藝的智能裝備產業化項目
格隆匯 4 月 2日丨正業科技(300410.SZ)公佈，公司與株洲市國有資產投資控股集團有限公司(“株洲國投”)於2021年4月2日簽訂了《戰略合作備忘錄》。此次備忘錄的簽訂無需提交公司董事會和股東大會審議，公司將根據後續進展情況，依據相關法律法規及《公司章程》等有關規定，履行相應的審批決策程序和信息披露義務。
甲方為株洲市國有資產投資控股集團有限公司，乙方為廣東正業科技股份有限公司；
甲、乙方希望通力合作，依託株洲市區位優勢及產業基礎，充分發揮各自優勢，共同建設“半導體無損檢測智能裝備產業化項目和基於動力鋰電池用疊片工藝的智能裝備產業化項目”(“項目”)，整合業內優秀的科研和銷售團隊，打造國家中部地區高端智能裝備產業化示範高地。經各方協商一致，現就有關項目推進事宜達成如下約定：
投資規模。項目總投資額為10億元人民幣，分期進行。其中，項目一期(“項目一期”)投資規模6億人民幣。
項目產品。項目一期為半導體無損檢測智能裝備產業化建設項目，面向半導體芯片領域研發生產銷售半導體X光無損檢測機，通過X射線的強穿透性進行透視成像揭示受照芯片內部的結構或形態，解決半導體芯片各種缺陷檢測問題，提升芯片良率。
投資安排。項目一期公司(“項目公司”)註冊資本金擬為2億元人民幣，乙方擬以直投方式對項目公司出資，投資金額為2億元人民幣，佔項目公司註冊資本的比例為100%。註冊資本金來源主要為乙方自有資金以及乙方自籌資金如銀行貸款等，分期到位。
廠房建設。項目公司擬需求約50畝工業用地用於建設廠房和配套生活設施。
甲方職責：
土地提供。甲方依法依規協調地方政府提供工業用地淨地面積約50畝，並根據乙方需求協調提供後續用地。
優惠政策。甲方協調地方政府為項目匹配相關優惠政策，包括但不限於高新企業補貼、固定資產補貼、研發補貼等，積極為項目適用國家、湖南省、株洲市的各類相關優惠政策創造有利條件。
人才支持。甲方協調地方政府提供專項人才引進獎勵一攬子政策，包括但不限於人才激勵政策、安家補貼、購房補貼、子女上學指標等。
税收優惠。甲方負責協調為項目公司提供税費減免優惠政策。
此次投資建設項目符合公司的“工業檢測智能裝備”發展戰略，如順利實施，對公司半導體檢測和鋰電業務的發展具有積極的推動作用，有利於公司依託株洲市區位優勢及產業基礎，加快推進“半導體無損檢測智能裝備產業化項目和基於動力鋰電池用疊片工藝的智能裝備產業化項目”的產業化和市場化，進一步提升公司的核心競爭力和盈利能力。
