新特能源(01799.HK)：新疆新能源对盱眙高传及江苏高传提起诉讼
格隆汇 3 月 3日丨新特能源(01799.HK)公告，董事会获新疆新能源告知，其已向北京市第二中级人民法院("北京中院")对盱眙高传及其控股公司江苏高传新能源有限公司("江苏高传")提起诉讼，并于近日收到北京中院发出的《受理案件通知书》。
于2017年1月，新疆新能源与盱眙高传签订承包合同，约定由新疆新能源以总承包方式承建该项目。于2017年5月，盱眙高传与华夏金租签订融资租赁合同，华夏金租针对该项目开展融资租赁业务，租赁金总额人民币6亿元。华夏金租同时与盱眙高传及新疆新能源签订转让协议，约定华夏金租承担该项目主要设备、组件及其材料采购的付款义务并取得该项目建成后该等资产的所有权；但承包合同项下其他权利和义务仍由盱眙高传与新疆新能源按承包合同的约定予以履行。
新疆新能源亦与华夏金租订立债权转让安排，据此华夏金租已以人民币6亿元的对价将其在融资租赁合同项下全部已到期、未到期及融资租赁合同解除(如发生)后的债权；及对融资租赁合同项下的全部债权提供的担保权，包括盱眙高传100%股权、收入及应收账款，转让给新疆新能源。
截至公告日期，盱眙高传于融资租赁合同项下已到期未付租金为人民币5730.1万元，故此新疆新能源有权要求盱眙高传支付全部已到期未付租金╱租前息、未到期租金、迟延违约金、留购款项和其他应付款项。
新疆新能源以盱眙高传未按约定支付融资租赁租金为由提起该诉讼，请求北京中院判令(i)盱眙高传支付已到期未付租金人民币5730.1万元、全部未到期租金人民币8.1亿元及相应的的迟延违约金、留购款项和律师费("该等款项")；(ii)新疆新能源有权从盱眙高传已支付的人民币3637.8万元押金中抵扣该等款项；(iii)江苏高传就该等款项承担连带责任；(iv)就该等款项，新疆新能源有权优先受偿江苏高传或盱眙高传质押或抵押的(a)盱眙高传股权折价或者以拍卖、变卖所得的款项；(b)收入及相关收益权；及(c)相关建设用地使用权折价或者以拍卖、变卖所得的款项；及(v)盱眙高传及江苏高传负担诉讼费、财产保全费用等费用。
