旭辉控股(00884.HK)拟成立合营企业于广西共同开发房地产项目
格隆汇1月7日丨旭辉控股(00884.HK)发布公告，集团拟通过与合作方按65：35比例成立合营企业，扩展其于中国广西壮族自治区的商业及住宅房地产开发业务。合作方目前通过平台公司拥有及╱或控制多间公司、合营企业及房地产项目的权益。另一方面，公司的全资附属公司广西旭辉企业管理有限公司目前亦于广西拥有多间公司及项目的权益。集团及合作方拟通过平台公司及广西旭辉成立上述合营，各方将于审核、估值及尽职调查后，就将获纳入合营企业的房地产项目达成协议。各方已同意不纳入的公司、合营企业及房地产项目的权益将由平台公司或广西旭辉出售，而各方已同意纳入的项目将由平台公司或广西旭辉收购。
为实施上述合作倡议，公司于中国成立的全资附属公司旭辉集团股份有限公司与合作方订立合作框架协议。于2021年1月7日，旭辉中国与彰泰控股（香港）有限公司，现时拥有桂林彰泰实业集团有限公司80%的股权；桂林合创建设投资有限公司，现时拥有平台公司20%的股权；及黄海涛及汪春玲（平台公司的实际控制人）订立合作框架协议，据此，旭辉中国与合作方将独家通过平台公司及广西旭辉按65：35比例成立合营企业，于广西共同开发房地产项目。
合作框架协议项下的条款规定，旭辉中国将向彰泰香港及桂林合创收购平台公司65%的股权。平台公司现时拥有多间公司、合营企业、物业项目（主要于广西从事房地产开发业务，包括可售项目、储备项目及代建项目）及其他关联公司的权益。订约方于旭辉中国完成相关尽职调查后方就估值及合作方式进行磋商，并须议定将获纳入平台公司的具体项目及相关权益百分比。因此，于合作框架协议签订时，将予纳入平台公司的具体公司、合营企业及房地产项目的权益尚未落实。
在合作框架协议生效当日，桂林合创于平台公司的20%股权将抵押予旭辉中国并递交有关上述抵押的登记申请，按金人民币8亿元将支付以确保旭辉中国履行在合作框架协议项下的义务。
此外，于合作框架协议生效当日，旭辉中国将抵押其于广西旭辉的20%股权予桂林合创，并递交有关上述抵押的登记申请，而合作方应向旭辉中国支付按金人民币1亿元，以确保合作方履行在合作框架协议项下的义务。
