民生教育(1569.HK)：收购都学网络+电大在线，深度布局成人在线教育，给予“买入”评级

成收购都学网络科技（北京）有限公司60%股权
10月14日，公司公告宣布民晟智才收购瑞昌安瑞持有的都学网络60%的股权，对价为都学网络2020年和2021年两个年度的扣非归母净利润平均值的12倍确定的公司估值乘以60%，即人民币2.48亿元（可予以调整，最高不超过人民币2.88亿元）。都学网络的业绩自2020年12月13日起合并至民生教育。
都学网络作为“都学课堂”及“MBACHINA”的实际运营主体，主要提供工商管理硕士类在线教育业务及教育信息化服务业务，其中包括管理类联考、国际项目、选校咨询、考前培训、海外商学院、论文写作培训、博士申请服务等。
截至2020年7月31日，(i)与都学网络合作的商学院累计200多家，包括北京大学汇丰商学院、清华大学五道口金融学院、长江商学院、复旦大学泛海国际金融学院、上海交通大学安泰经济与管理学院、香港大学及香港科技大学等知名商学院；及(ii)都学课堂及MBACHINA累计注册用户人数约190万人，2020年新增注册用户人数约15.9万人，新增付费用户约9.8万人。
收购电大在线远程教育技术有限公司50%股权
12月28日，公司公告称北京民晟（本公司的一家间接全资子公司）作为意向受让方，申请受让由国开祥云持有电大在线50%的股权，转让底价为人民币4.1亿元。本次收购事项完成后，公司将持有电大在线100%的股权，电大在线将成为公司的间接全资子公司及其财务业绩将全部合并至公司。
电大在线成立于2001年，是全国性远程教育公共服务体系的运营商，主要从事国内软件开发、生产计算机软、硬件、远程教育软件；信息网络的技术开发等业务。截至公告日期，电大在线持有奥鹏教育100%的股权。
电大在线全资子公司奥鹏教育(i)与包括北京大学、南开大学、天津大学、北京师范大学等在内的30馀所国内知名大学开展网络教育合作，提供数百种本专科专业，在籍学历学生约100万人，有遍佈全国31个省（自治区、直辖市）的1,800多家学习中心；(ii)与9所开放大学开展合作办学；(iii)于2020年全年累计培训教师约290万人次；(iv)旗下慕课网提供3,000多门课程，累计用户逾2,000万人；(v)组织实施网络教育全国统一考试年均考量约200万人次，课程考试和社会化考试年均考量约460万人次，是中国最大的远程教育服务运营机构。
上调盈利预测，给予买入评级
考虑到都学网络和电大在线的并表，我们上调2021年民生教育盈利预测，原FY20-21年归母净利为4.1亿人民币、5.0亿人民币，上调后为4.1亿人民币、6.6亿人民币，对应PE分别为9.4xPE、6.6xPE。
风险提示：民促法实施条例尚未落地，转为营利性资产税收土地成本上升；核心人员流失风险；电大在线交易事项进展不确定性。
