中国移动(00941.HK)：纽约证交所宣布启动美国存托股票下市程序
格隆汇 1 月 4日丨中国移动(00941.HK)发布公告，公司注意到，纽约证交所于2020年12月31日(美国东部标准时间)在其网站登载消息，纽约证交所监管部门职员已决定对包括公司的美国存托股票在内的三家发行人的证券启动下市程序，依据是公司因该行政命令而根据纽约证交所上市公司手册第802.01D条不再适合上市。该行政命令于2021年1月11日上午9:30(美国东部标准时间)开始禁止任何美国人士对包括公司最终控股股东中国移动通信集团有限公司在内的相关公司的公开交易证券、该等证券的任何衍生证券或旨在为该等证券提供投资机会的证券进行任何交易。纽约证交所将于2021年1月7日上午4:00(美国东部标准时间)暂停美国存托股票的买卖，或倘若存管信托及结算公司(DTCC)确认将就2021年1月7日及1月8日的交易日执行的交易进行结算，则纽约证交所将于2021年1月11日上午4:00(美国东部标准时间)暂停美国存托股票的买卖。纽约证交所将向美国证券交易委员会提出申请，于完成所有适用程序后将美国存托股票下市。
公告表示，公司自1997年10月上市以来，一直严格遵守上市地的法律法规及监管要求，依法合规运营，并致力于创造良好业绩，始终愿意与投资者共享发展成果，持续为股东创造价值。公司对纽约证交所上述决定和行动表示遗憾。纽约证交所的决定和行动可能增加公司证券交易量的波动性，并对公司证券的价格产生影响。公司将及时研究分析，并加强与上市地监管机构的沟通联系，以保护自身及公司证券持有人的合法权益。
截至2020年12月31日，公司以美国存托股票形式持有的普通股占公司总已发行股本约2%，或占公司总已发行股本(由最终控股股东中国移动通信集团有限公司持有的普通股除外)约8%。于截至2020年12月31日止年度，美国存托股票在纽约证交所的日均交易量占公司证券的总日均交易量约22%。于该公告发布的时，公司尚未收到纽约证交所就上述将公司美国存托股票下市的决定的通知。
