格隆汇1月2日丨其士国际集团(00025.HK)发布公告,2020年1月2日,卖方(为公司间接全资拥有的附属公司)与Agemark Acquisition LLC订立该协议,据此,买方有条件地同意收购于各目标公司的该等权益,总代价为4201.5万美元(约3.277亿港元)。

将出售的资产包括NC4 Oliver, LLC 98.6%股权;NC4 Edenton, LLC 98.6%股权;NC4 Cedarmtn, LLC 98.6%股权;NC4 Hayesville, LLC 98.6%股权;NC4 Autumn Village, LLC 100%股权;NC4 Williamston, LLC 100%股权;及 NC4 Windsor, LLC 98.6%股权及NC4 Windsor II, LLC 100%股权。该等权益将不附带任何按揭、质押、留置权、押记、抵押权益、索偿或其他产权负担出售。

目标公司拥有的主要资产为该等物业的权利、业权及权益,该等物业为位于美国北卡罗来纳州的七间安老院舍设施,而目标公司拥有的其他资产包括楼宇设备、医疗设备、无形资产及所有消耗品库存,如药用品、医疗用品、处方和非处方药物或设备及其他办公设备及食品,该等物品纯粹用于该等物业(作为安老院舍)的营运及保养。

该等物业包括位于美国北卡罗来纳州的七间安老院舍物业,即分别为Autumn Village、Cedar Mountain House、Edenton House、Hayesville House、Oliver House、Williamston House及 Windsor House,总建筑面积为164,775平方尺,合共提供492张床位,以提供协助起居及╱或失智护理服务。

公告表示,集团自2011年起于美国投资安老院舍物业及相关设施。集团将不时调整组合,以提高集团安老院舍投资的整体表现。考虑到众多因素,包括但不限于当地经济及人口分布、对安老院舍服务的市场供求、该等物业的上升潜力及当前实际状况,集团决定出售持有该等物业的目标公司,并将资源重新分配至集团的其他保健护理相关投资。
