中集集团(02039.HK)子公司受让前海若干土地使用权 料增加集团税后净利约66.9亿元
格隆汇12月30日丨中集集团(02039.HK)公告,公司全资子公司南方中集曾于2017年10月9日,与原深圳规土委、前海管理局以尊重历史、服从规划、搁置争议、利益共用、双赢发展为原则,经友好协商,就位于深圳前海的T102-0152、T102-0153、T102-0154宗地土地整备问题签署了《土地整备框架协议书》。
2019年2月19日,为进一步的补充说明《土地整备框架协议书》的相关约定,南方中集与前海管理局签订深地合字(2006)0193号《深圳市土地使用权出让合同书》第四补充协议书,同时解除T102-0152宗地原合同并终止履行原合同约定的权利、义务;2019年2月27日,前海管理局与公司指定的公司全资子公司前海集城实业发展(深圳)有限公司及前海集云分别就一期土地(部份用地位于T102-0152宗地范围)中的T102-0289号地块、T102-0290号地块分别与前海管理局签订深前海地合字(2018)0010号《深圳市土地使用权出让合同书》、深前海地合字(2019)0001号《深圳市土地使用权出让合同书》。
于2019年12月27日,前海管理局与公司全资子公司前海集云、前海精集、前海英集、前海创集、前海盛集、前海世集就宗地号T102-0342(09-02-01与09-02-10号地块)、宗地号T102-0330(09-05-01号地块)、宗地号T102-0331(09-05-02号地块)、宗地号T102-0332(09-05-03与09-05-04地块)、宗地号T102-0333(09-05-06号地块)、宗地号T102-0334(09-05-07号地块)、宗地号T102-0335(09-05-08号地块)签订《出让合同》。
集团认为,签署《出让合同》有助于加快前海蛇口自贸区的开发建设,也有利于集团把握深圳城市发展和更新改造的机遇,提升本集团现有资源的整体效益和股东回报,符合集团及股东的整体利益。基于目前的初步测算,本次交易预计将增加本集团税后净利润约人民币66.9亿元,具体以本集团审计师的审计结果为准。
