格隆汇12月18日丨广泽国际发展(00989.HK)公告,于2019年12月18日,公司与买方Jade Cloud Estates,Limited就有关潜在出售事项订立意向书,公司(通过相关附属公司)拟同意出售及买方拟同意收购每间目标公司Biara Investments集团和广泽电脑全部已发行股本(即是根据买方对物业和每间相关公司的控股结构进行的尽职调查而得出的每个物业持有公司或其控股公司)和目标公司应付的股东贷款(如有),代价为3.05亿港元。

物业指物业A,物业B,物业C和物业D统称。物业A指九龙九龙湾常悦道9号企业广场第一座20楼;物业B指九龙九龙湾常悦道9号企业广场第二座20楼;物业C指九龙九龙湾常悦道9号企业广场第三座20楼6;物业D指九龙九龙湾常悦道9号企业广场1P楼A1至A14号停车位。

集团于1998年以1.39亿港元收购物业。多年来,随着公司控股股东的各种变动,这些物业已被保留并以投资物业用作为租赁用途,或自用作为办公室。集团管理层已考虑到(i)九龙湾及附近地区的现行物业租赁市场;(ii)九龙东中央商务区最近有很多新的甲级建筑物;(iii)香港最近的发展;认为出售物业是较适当的。预期代价为3.05亿港元,集团将取得119.9%的投资回报。

此外,该物业目前已抵押并取得银行贷款。根据该银行的初步年度审查,该银行已向集团的管理层表明,其打算要求本集团偿还部分银行贷款。监于上述要求以及与出售有关的释放物业押金的前提条件下,本集团应提前偿还银行贷款。
