新威斯頓(08242.HK)擬2500萬元收購成都威斯頓經營管理全部股權
格隆匯11月20日丨新威斯頓(08242.HK)公告,於2019年11月20日,公司全資附屬四川威斯頓資產管理有限公司為買方與賣方成都萬利豐投資有限公司訂立收購協議,買方擬向賣方收購目標公司成都威斯頓經營管理有限責任公司全部股權(連同結付未償還結餘),代價為人民幣2500萬元。收購協議須待(其中包括)收購協議所載先決條件達成後,方告完成。
根據收購協議,賣方無條件及不可撤回地向買方保證及承諾,於截至2020年12月31日止財政年度,目標公司經審核純利不應少於人民幣400萬元。
目標公司主要於中國從事提供物業管理、停車場管理及相關服務。完成後,目標公司將成為本公司間接全資附屬公司,據此,目標公司財務資料將合併到本集團賬目。
目標公司由2011年起符合第一級物業管理企業資質,並於2016年及2017年成功獲四川省房地產業協會評為AAA級信用物業服務企業。目標公司的客户主要包括物業業主及屬國有企業的物業管理公司。目標公司的定位是高端物業管理服務供應商,具有較大型項目的物業管理經驗。於2019年6月30日,目標公司管理的住宅及非住宅物業的合約總建築面積分別約79.4萬平方米及68.7萬平方米。
由於本集團及目標公司分別向中國物業管理市場內不同類別的客户提供服務,董事相信收購事項將使本集團將目標公司與其主要客户的直接聯繫融匯整合,促進本集團的綜合業務追求及發展,尤其是把握行業機遇,建立策略性行業鏈佈局,將中端及高端物業納入其項目組合內。
