南岸集團(00577.HK): 十三第酒店引入多名投資者 持股或降至20% 下週一復牌

格隆匯11月1日丨南岸集團(00577.HK)宣佈,於2019年10月14日及15日,公司的間接全資附屬Falloncrof與公司分別與Fine Intellect(由公司主要股東德祥地產全資擁有)、逸領及滿譽(統稱"買方")訂立買賣協議,據此,賣方擬向其出售Uni-Dragon 50%股份及相關貸款,總代價為7.5億港元。

根據第1號買賣協議的條款,完成時,Falloncroft將向Fine Intellect授予一項購股權,以購買最多佔Uni-Dragon在完成日期的30%已發行股本的股份及於完成時尚未償還的相關百分比股東貸款,所涉代價與買賣協議下的定價一致。

根據買賣協議,買方、賣方及Uni-Dragon將於完成後訂立股東協議,以規管雙方作為Uni-Dragon股東的關係以及Uni-Dragon的管理和營運。根據股東協議,公司及Falloncroft將需要向出售公司提供若干財務資助,即Falloncroft將予出資的2.5億港元股東貸款;公司就全數銀行貸款持續提供的現有擔保;及Falloncroft承諾在完成後的首三年內資助的貸款服務墊款。

於公佈日期,出售公司透過新聯生擁有該物業全部權益,其包括位於澳門聯生填海區鄰近石排灣馬路(無門牌號數)的土地以及毗鄰的建築物及發展項目,聯同十三第酒店在內。十三第酒店的總建築面積約為88,000平方米,擁有約200套複式套房及別墅,其設計及擺設標誌着該酒店作為超豪華旅遊目的地的利基市場定位。

於集團擬將出售事項的估計所得款項淨額約7.4億港元用於資助其按比例為新聯生償還該貸款的到期款項而應承擔的責任份額(有關份額預計不超過2.5億港元);償還華鎮有限公司根據諒解備忘錄墊付予公司的誠意金(7000萬港元);以及清償出售集團所欠的一部分完成前的債務。

倘購股權契據所反映的購股權獲悉數行使,公司於出售公司的權益將降至20%。通過出售於出售公司的額外30%權益所得的款項預計為4.5億港元。集團計劃將估計所得款項淨額約4.4億港元用於償還未償債務。

完成出售事項後,餘下集團將繼續在香港及澳門從事建築、酒店及娛樂業務。集團於出售事項後的策略為:繼續透過其間接附屬公司保華建業集團有限公司從事工程、建築及基建工程、項目管理以及製造及買賣建材;及繼續管理及維持於該酒店的少數權益。

預期出售事項將精簡集團現有業務分部及營運,改善集團的財務狀況及流動資金,使投資者更清楚集團的業務模式、風險回報狀況及增長前景,並使管理層更有策略地聚焦集團的建築及酒店業務。

此外,公司已向聯交所申請恢復股份買賣,其將自2019年11月4日上午九時正起生效。
