泰山石化(01192.HK)已委聘其百慕大法律顧問 並將積極抗辯
格隆匯10月4日丨泰山石化(01192.HK)公佈，誠如2017年4月13日公告所披露，公司與Sino Charm訂立有關發行本金總額為7800萬港元的可換股債券的認購協議。誠如公司2019年7月17日公告所披露，公司已接獲代表Sino Charm的法律顧問日期為2019年7月15日的法定要求通知書，據此，Sino Charm要求公司在送達法定要求之日起21日內支付約9657.11萬港元的款項，即公司發行予Sino Charm的可換股債券的本金金額連同應計利息。誠如公告所披露，Sino Charm作為呈請人隨後向法院提交了呈請。
於日期為2019年9月25日公告刊發後，公司已接獲代表Sino Charm的法律顧問的呈請副本，呈請已於2019年9月26日交回並由法院登記處註明日期，呈請將於2019年10月25日上午九時三十分(百慕大時間)在法院聆訊。公司已委聘其百慕大法律顧問，並將積極抗辯。公告日期，呈請並無對公司的日常經營造成重大不利影響。
根據百慕達一九八一年公司法第166(1)條規定，在法院下達清盤令後，公司財產的任何處置(包括訴訟中的事情及任何股份轉讓)或公司成員身份變更，除非法院另有指令，否則在清盤開始後作出均屬無效。清盤被視為在提出清盤呈請時開始。
根據香港中央結算有限公司所發出日期為2016年12月28日有關清盤呈請後轉讓上市發行人股份的通知，以及鑑於可能產生的且與公司股份轉讓有關的該等限制及不確定因素，對於透過香港結算進行股份轉讓的參與者而言，香港結算可隨時根據中央結算系統一般規則行使其權力，暫時中止任何有關公司股份的服務而不作通知。這可能包括暫停接受公司股票存入中央結算系統。香港結算已接收但尚未重新登記在香港中央結算(代理人)有限公司名下的公司股票亦將退回予相關參與者，且香港結算將保留通過從該參與者的中央結算系統賬户中相應地記減有關證券數量，以抵銷已記存的股份數量的權利。一般而言，該等措施將於清盤呈請被撤銷、駁回、永久擱置或公司已從法院取得必要的認可令當日起停止生效。
公司有意儘快就轉讓其股份取得認可令。
